Conditions of Sale and General Information

General Clause

These general conditions of sale shall cancel and replace any previous conditions and are modifiable without notice. They constitute the legal basis of the contracts of sale between Zip Cable Tray Systems Inc. and its clients regarding all sales except for sales subject to specific agreements that are accepted by Zip Cable Tray Systems Inc. in writing.

Prices, Catalogues, Product Detail

Prices are FOB Montreal, taxes extra if applicable.
Prices and general details (including technical information and drawings) are for indication purposes only, are subject to change without notice and shall not be binding on Zip Cable Tray Systems Inc. unless express confirmation by writing or by email is given.

Payment Terms

Terms of credit are available only after Zip Cable Tray Systems Inc. has reviewed and approved credit for a client or potential client.

Our invoices shall be payable net 30 days from shipment date, net and without discount.

Minimum

Minimum order is $25.00 plus applicable taxes.

Delivery, Transfer of Risk

Products shall be considered 'delivered' when it leaves the premises of Zip Cable Tray Systems Inc.

The shipment is no longer the responsibility of Zip Cable Tray Systems Inc. once it has left our factory.

The transfer of risk to the client shall take place at the moment of delivery as defined above, notwithstanding the right of reservation of ownership.

Delivery

Zip Cable Tray Systems Inc. will arrange delivery by common carrier or courier on a "pre-pay and charge" basis. The carrier used will be the choice of Zip Cable Tray Systems Inc. unless the client wishes to use the carrier of their choice. If the client wishes to use the carrier of their choice, Zip Cable Tray Systems Inc. requires 24 hours' notice to do so and then Zip Cable Tray Systems Inc. will ship the order "collect" on the client's account.

At the client's request, the BOL (Bill of Lading) can be sent to the client with the name of the carrier and the tracking number if the tracking number is available.

It is the client's responsibility to track the shipment and arrange to be present to receive the delivery.

Zip Cable Tray Systems Inc. assumes no responsibility whatsoever for additional charges incurred by the carrier for circumstances beyond the control of Zip Cable Tray Systems Inc..

This includes, but is not limited too; damage to items, late delivery charges and additional charges for tailgate services or redelivery if necessary.

Any additional charges for reasons stated above are the responsibility of the client and the client will be invoiced in full.

Delivery time

Unless a firm delivery date is specified by an express agreement, delivery dates are mentioned for indication purposes only and shall not be grounds for cancellation of the order or payment of compensation by Zip Cable Tray Systems Inc.

The delivery time provided for shall be extended in case of force majeure, in case of late payment and/or in case of receipt of the required documents to prepare and/or ship the order.

Acceptance

The consignee must inspect the goods when they are received and make note of any apparent damage on the Bill of Lading.

Inspection and Verification

The consignee must immediately inspect the shipment against the Packing List and notify Zip Cable Tray Systems Inc. of any discrepancies in writing within 5 working days.

Damage

Any damages should be reported to the Carrier upon receipt of the goods.
Claims for damage are the responsibility of the consignee and must be reported to the Carrier within 3 days.

Zip Cable Tray Systems Inc. does not process damage claims for clients.

Returns

No unauthorized returns will be accepted.
Returns must be made within 30 days of invoice date.
A 25% restocking charge will be charged on authorized returns and freight must be prepaid.

A refund or credit will be issued after the product has been inspected by Zip Cable Tray Systems Inc. and the product is deemed resalable as a new item.

For any product to qualify for return and/or refund, it must be undamaged, clean and free of stains, scratches and watermarks.

Custom made items cannot be cancelled or returned.

Reservation of ownership clause

The seller shall remain owner of the goods delivered until actual payment of the full price, in principal and associated costs, is received.

• the risks shall be transferred to the client, who assumes the responsibility for any damage to the goods and shall insure them against these risks
• the client may not, under penalty of payment of damages for improper resistance, refuse to return the goods to Zip Cable Tray Systems Inc.

Warranty

All Zip Cable Tray Systems Inc. products have a manufacturer's warranty covering defects in material and workmanship for a period of one year from date of invoice.

The obligation of the seller and manufacturer is limited to the replacement of product proved defective. Neither seller nor manufacturer shall be liable for any injury, loss or damage direct or consequential, arising out of the use or the inability to use the product.

User shall determine the suitability of the product for his intended use before using and assumes all risk and liability in connection therewith.

Product Specifications

Products may not be exactly as shown. Zip Cable Tray Systems Inc. reserves the right to make changes without notice.
